Term and Condition

1. INTRODUCTION

These Terms & Conditions (“Terms”) govern the relationship between NusaProperties (“Company”, “we”, “us”) and any client (“Client”, “you”, “user”) who uses our services for selling or renting properties in Eastern Indonesia, including Lombok, Bali, Sumbawa, Flores, and Sumba.

By accessing our services, listings, or website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. MAIN SERVICES

NusaProperties provides two core services:

a) Selling Properties – Listing, marketing, and facilitating the sale of verified properties on behalf of property owners or investors.

b) Renting Properties – Short-term or long-term rental arrangements, including tenant sourcing, lease agreement handling, and rental management.

Additional support services (property verification, title transfer, PMA permits, master planning, construction drawings) are available upon request with separate fees.

3. FOR SELLERS & PROPERTY OWNERS

By listing your property with NusaProperties, you agree that:

3.1 You are the legal owner or have full authorization to list the property.

3.2 All information provided about the property is accurate, complete, and truthful.

3.3 You will pay a commission fee of [X]% of the final sale price or [X] months of rental value upon successful transaction.

3.4 Commission is due within 7 days after the Sale & Purchase Agreement is signed (for sales) or the tenant moves in (for rentals).

3.5 You grant NusaProperties permission to take professional photos, videos, and written descriptions for marketing purposes.

3.6 You will not bypass NusaProperties to directly deal with a buyer or tenant introduced by us. Any such attempt will result in full commission penalty.

4. FOR BUYERS & TENANTS

By purchasing or renting through NusaProperties, you agree that:

4.1 You acknowledge that property information is provided based on owner disclosures and our verification, but you are encouraged to conduct your own final inspection.

4.2 A booking fee may be required to hold a property. This fee is refundable only if the property fails verification or the owner backs out.

4.3 Rental security deposits will be handled according to Indonesian law or as stated in your rental agreement.

4.4 NusaProperties is not responsible for disputes between you and the owner after the transaction is finalized, unless we explicitly acted as an escrow agent in writing.

5. PROPERTY VERIFICATION COMMITMENT

NusaProperties ensures that every property listed for sale or rent has undergone internal verification, including:

– Legal ownership status

– No active disputes or liens

– Physical condition as represented

However, NusaProperties is not a law firm. For complex legal matters, we strongly recommend independent legal counsel. Our verification reduces risk but does not guarantee against all possible legal contingencies.

6. FEES & PAYMENT TERMS

6.1 Standard Fees:

– Sale Commission: [X]% of final sale price

– Rental Commission: [X] month(s) rent

– Property Verification: IDR [X] per property

– Title Transfer (Balik Nama): IDR [X] + government fees

– PMA Permit: Quote-based

– Master Plan & Construction Drawing: Quote-based

6.2 All fees are in Indonesian Rupiah (IDR) unless stated otherwise.

6.3 Commission is due upon successful transaction (sale signed or tenant moved in).

6.4 Support service fees require a 50% deposit before work begins.

6.5 Late payments incur an interest of 2% per month.

7. CANCELLATION & REFUND POLICY

7.1 For Listings: Owners may cancel their listing at any time with written notice. No refund of marketing fees already spent.

7.2 For Buyer/Tenant Booking Fee: Refundable only if property fails verification or owner backs out. Not refundable if you change your mind.

7.3 For Support Services: 50% refund if cancellation occurs before work starts. No refund after work has commenced.

7.4 NusaProperties reserves the right to cancel any service immediately if fraud, misrepresentation, or illegal activity is discovered.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, NusaProperties shall not be liable for:

– Changes in government regulations affecting property value or ownership

– Acts of force majeure (natural disasters, war, pandemic, strikes)

– Disputes between buyer and seller after handover

– Investment losses, lost profits, or missed opportunities

Our total liability to any client shall not exceed the total service fee paid by that client.

9. CONFIDENTIALITY

NusaProperties will keep all client information, documents, and transaction details strictly confidential. We do not share your data with third parties except:

– As required to complete your transaction (e.g., notary, government office, bank)

– As required by Indonesian law

We will never sell your personal data to any third party.

10. FORCE MAJEURE

NusaProperties is not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, war, civil unrest, public health emergencies, or internet outages.

11. DISPUTE RESOLUTION

Any dispute arising from these Terms shall first be resolved through good-faith negotiation between both parties. If unresolved within 14 days, the dispute will be submitted to mediation or arbitration in Mataram or Denpasar, Indonesia, under the laws of the Republic of Indonesia.

12. AMENDMENTS

NusaProperties reserves the right to update or modify these Terms at any time without prior notice. The latest version will be published on our website and will take effect immediately upon posting. Continued use of our services constitutes acceptance of the updated Terms.
